Annual Meeting of Shareholders 2026 and Update on Operations

18 August 2026 | Minco Exploration PLC (“Minco Exploration”, “Minco”, or the “Company”) reports that it held its Annual Meeting of Shareholders (AGM) in Dublin, Ireland on 18 August 2026.

All resolutions proposed at the AGM were unanimously approved and passed by the required majorities. See details in the Results of Voting section below.

Terence McKillen, Patrick Downey, and Michael Power were re-elected as directors at the Meeting, joining John Kearney, John Clifford, Garth Earls, and Peter McParland who continue as directors for the remainder of their respective terms.

UHY Farrelly Dawe White Limited were re-appointed as the Company’s Auditor.

General authorities were granted to the directors to allot securities up to a maximum aggregate nominal amount equal to the nominal value of the authorised but unissued ordinary share capital of the Company and to disapply pre-emption rights in connection with issues of equity securities.

UPDATE ON OPERATIONS FROM JOHN CLIFFORD, MINCO’S DIRECTOR – EXPLORATION

Following the formal business of the Meeting, Minco’s Director – Exploration, John Clifford, provided shareholders with an update on recent operations:

“For Minco, the past year has been one of exciting discovery at our Rapla Project in County Laois, grounded on an intensive drilling campaign, with 4 rigs operating.

Zinc-lead mineralization at Rapla was first identified in the early 1980s and since then drilling campaigns by several different companies confirmed mineralization like that found at Galmoy and Lisheen.

The big difference between Rapla, Lisheen and Galmoy is the depth of the mineralization.

While the mineralization at Galmoy and Lisheen is within 200 metres of surface, at Rapla the depth to target is almost 600 metres. This acted as a deterrent to some earlier operators.

However, economics change, technologies improve and what might have been unviable a decade ago might no longer be the case to-day. The re-development of the Galmoy mine, using recently developed processing technology and a strong local mining tradition changed the equation.

Recognizing these changes Minco applied for exploration permits over the Rapla area in June 2023. The permits were issued in April 2024.

We spent the first year compiling all the historic exploration data to identify priority exploration targets and source the funds necessary to test those targets. Both tasks were successfully completed.

Drilling began in August 2025 with four rigs operating. As of May 2026, we had completed 19 drill holes for 10,728 metres, with a further four holes in progress, as part of a 70-hole exploration programme permitted by Ireland’s Geoscience Regulation Office.

The majority of those holes were drilled within what we considered our priority target area in the Aghmacart and Addergoole townlands west of Cullohill. Five of those holes intersected zinc-lead mineralization of potential economic significance with important copper and silver values, including 16.5 metres grading 10.99% zinc, 3.12% lead, 1.39% copper and 294 g/t silver in drill hole 3312-82 — one of the highest-grade holes drilled in Ireland in decades. Details of those intercepts are provided in the Annual Report which has just been released.

Drilling by Minco to date is wide-spaced, much wider than what is required to confirm that the mineralization extends uninterrupted between the drill holes. We will continue drilling in this area to assess the continuity of mineralization.

At the same time, we are extending our drilling campaign to the east into Maynebog, Ballynevin and Raheenleagh townlands to follow-up on positive drilling results from 10 years ago. We are hopeful that we can confirm those results and extend the mineralized footprint.

In addition, we have identified several other targets which will be tested in 2027.

To summarize, Minco is at an early stage of the exploration process at Rapla and we do not yet know if what we have discovered so far is economically mineable. Answering that question is the purpose of our current and future drilling.

If we do establish that zinc, lead and copper are present in sufficient quantity and quality, we will then proceed with the detailed studies examining every aspect of a potential development. These studies will include engineering design, environmental protection, water management, community impacts, economics and compliance with Irish and European legislation.

If those studies demonstrate that a mine is technically, environmentally and economically viable, any proposal would then be subject to extensive public consultation and rigorous assessment through Ireland’s planning and environmental approval processes. A Mining Lease, issued by the Minister, would also be required. This process can take over ten years to complete.

So, while the results at Rapla are very encouraging, we are just at the beginning of that journey. As we proceed on that journey we’re committed to working safely, protecting the environment, engaging openly with the local community and keeping shareholders informed as the project progresses.”

REMARKS OF CHAIRMAN JOHN F. KEARNEY

“It was a transformational year for Minco, marked by significant exploration success at our 100%-owned Rapla Project in County Laois, and by the strengthening of our shareholder base through a series of strategic financings completed during 2025 and 2026.

The highlight of the year was the announcement of significant high-grade drill results from Rapla, featuring 16.5 metres grading 10.99% zinc, 3.12% lead, 1.39% copper and 294 g/t silver, including 4.5 metres grading 19.45% zinc, 8.18% lead, 5.05% copper and 1,028 g/t silver, in drill hole 3312-82. This is one of the highest-grade holes drilled in Ireland in decades, and considering the mix and grade of metals — including copper, silver, antimony, nickel and cobalt, in addition to high-grade zinc and lead — we believe we are at the beginning of a special mineral discovery.

Exploration success at Rapla was driven by strong financial support from new strategic investors. In July 2025, Minco completed an €800,000 financing with our Strategic Investor to undertake and accelerate exploration activities at Rapla. This was followed in December 2025 by an additional €745,000 financing from the Strategic Investor to expand the drilling programme following encouraging early results.

Subsequent to year-end, Minco completed a further €1.66 million financing led by Irish Minerals Fund LP, together with the Strategic Investor and certain existing shareholders. The concurrent investments by the Irish Minerals Fund and the Strategic Investor reflect continued confidence in Minco and in the quality and potential of the Rapla Project. Collectively, these financings have significantly strengthened the Company’s financial position and enabled Minco to accelerate and expand our exploration activities at Rapla.

The Irish Minerals Fund LP is an Irish limited partnership sponsored by Lionhead Resources and anchored with a €30 million commitment from the Ireland Strategic Investment Fund to make minority investments in value-creating, ESG-responsible, high-quality metals and mining projects. Their participation, alongside that of our Strategic Investor, is an important endorsement of the sector and reflects growing institutional recognition of the quality and potential of our Rapla Project.

With funding in place, a strengthened shareholder base, and encouraging technical results from Rapla, Minco is well positioned for continued advancement in 2026. We will continue systematic exploration at Rapla, including an in-fill drill test in the latter half of this year, laying the foundations for a resource estimation and an assessment of the economic viability of the Project in the medium term.

Ireland remains one of Europe’s most prospective and underexplored zinc-lead jurisdictions, and the European Union’s continued implementation of the Critical Raw Materials Act reflects a broader objective of strengthening secure and responsible European supply chains for critical and strategic raw materials. Minco’s Board believes that high quality exploration projects located within well-established mineral districts, such as ours at Rapla, will continue to attract strategic interest as demand for secure European metal supply increases.

Shareholders also approved the following items of Special Business, as set out in the Notice of Meeting:

  1. Authority to allot shares, with 68,555,747 Ordinary Shares voting in favour and no votes against, and;
  2. Disapplication of Statutory Pre-emption Rights, with 68,555,747 Ordinary Shares voting in favour and no votes against.

Minco Exploration PLC is a mineral exploration company which holds interests in Prospecting Licences in Ireland which are considered highly prospective for the discovery of zinc-lead mineralisation. Minco also holds (i) a 100% interest in the Slieve Dart prospecting licence block in County Galway; (ii) a 20% joint venture interest with Boliden (80%) on Licence 1440R (Tatestown), which lies immediately adjacent to Boliden’s large 130 million tonne Tara zinc-lead mine at Navan; and (iii) a joint venture interest with Boliden on Licence 3373 (Kells), contiguous to the west of Licence 1440R, where Minco can earn up to a 75% interest.
